Payment Service Agreement
The payment service agreement (hereinafter referred to as " this agreement " ) is between Alipay (China) Network Technology Co., Ltd. (hereinafter referred to as " Alipay " ), Taobao platform operator, Jifenbao Nanjing Enterprise Management Co., Ltd. " ), Jifenbao Nanjing Business Service Co., Ltd. (hereinafter referred to as " Jifunbao Business " ), Zhejiang MYbank Co., Ltd. (hereinafter referred to as " Mybank " ), Alipay overseas affiliates including but not limited to Alipay US, Inc. ( " Alipay USA " ) and the user (hereinafter referred to as " you " ) shall agree to the payment service, Jifenbao service, credit card payment, international payment, Huabei collection service, " account balance +" collection service (hereinafter referred to as individually or collectively referred to as " the Service " ) is a valid contract for use. This Payment Service Agreement(hereinafter referred to as the "Agreement") by and between Alipay.Com Co., Ltd (hereinafter referred to as "Alipay"), the Taobao platform operator, Jifenbao Nanjing Enterprise Management Co., Ltd.(hereinafter referred to as "Jifenbao Enterprise"), Jifenbao Nanjing Business Service Co., Ltd. (hereinafter referred to as "Jifenbao Business"), Zhejiang E-Commerce Bank Co., Ltd. (hereinafter referred to as "MYbank"), Alipay's overseas affiliates including but not limited to Alipay US, Inc. (“Alipay US”) and the user (herein after referred to as "you") is a legally effective contract on the usage of payment services, Jifenbao services, credit card payment, international payment, Huawei Collection service, "account balance+" collection service (hereinafter individually or collectively referred to as "the services"). If you do not agree with any content of this agreement, or cannot accurately understand the meaning of any clause of this agreement, please do not confirm and follow-up operations. You agree that Alipay, the Taobao platform operator, Jifenbao Enterprise, Jifenbao Business, MYbank, and Alipay’s overseas affiliates have the right to unilaterally change the content of this agreement at any time, and post it on the Alipay website (www.alipay . com ) or on the Taobao platform operator website (including but not limited to taobao.com or tmall.com or alitrip.com or etao.com or ju.taobao.com or 95095.com ) to announce in advance, without separate Notify you; if you continue to use this service after the announcement of the change in the content of this agreement takes effect, it means that you have fully read, understood and accepted the changed content of the agreement, and will also use the service in accordance with the changed content of the agreement; if you If you do not agree to the modified content of the agreement, you should stop using the service before the change takes effect.
You agree that Alipay, the Taobao platform operator, Jifenbao Enterprise, Jifenbao Business, MYbank and Alipay's overseas affiliates have the right to make a unilateral modification to the terms of the Agreement at any time. The modification can be made after the announcement is posted on the Alipay website ( www.alipay.com ) or the Taobao platform (including but not limited to taobao.com or tmall.com , alitrip.com , etao.com , ju.taobao.com or 95095.com ) in advance without further notice to you. If you continue to use the services after the agreement modification announcement became valid, it will be construed as that you have fully read, understand and accept the entirety of modified Agreement. If you do not agree to the modified Agreement terms, you shall stop using the services before such modification takes effect.
1. Definition
I. Definitions
1. Payment service (also known as " basic payment service " ): refers to the " Alipay " software system provided by Alipay to you and your customers and the accompanying payment collection and payment services (excluding credit card payment services, international payment services, etc.) service, Huabei payment collection service), including balance payment, Yu’ebao payment, debit card quick payment, the specific services provided by the service provider shall prevail at that time.

2. Quick payment by debit card: refers to the service that the cardholder (hereinafter referred to as " buyer " ) submits the bank debit card information to the Alipay system and makes payment, and Alipay completes the collection and payment service.

3. Credit card payment: including fast credit card payment and large-amount online banking payment by credit card. Quick credit card payment means that the cardholder (hereinafter referred to as " buyer " ) submits bank credit card information to the Alipay system and pays, and Alipay completes the collection and payment service. Credit card large-amount online banking payment means that the buyer jumps to the corresponding bank's online banking through Alipay's service to perform payment operations, and Alipay completes the service of collection and payment. If you enable credit card payment, your Tmall store will be identified by the relevant logo.
3. Credit card payment: includes credit card express checkout and credit card large-amount online banking payment. Credit card express checkout refers to the cardholders (herein after referred to as the "Buyer") providing the data of credit card to Alipay system to allow Alipay to make collections and payments on behalf of them. Credit card large-amount online banking payment refers to the Buyer jumps to the online banking system of corresponding bank from Alipay to allow Alipay to make collections and payments on behalf of them. Tmall store enabled credit card payment will be marked with relevant logo.
4. International payment: refers to the service that the buyer pays you through the payment tool that the payment fund flow and / or information flow is processed by institutions outside mainland China, and Alipay completes the collection and payment service.

The marketing name of the Huabei service may be adjusted due to business changes and operational needs of the service provider, and the name actually displayed by the service provider shall prevail.
5. Huabei Collection: refers to the service where buyers use the Huawei collection service online to pay and entrust Alipay to complete collection and payment services. Huabei:means the consumer financial services provided by Affiliates of Alipay and other qualified institutions to Alipay user s. The marketing name of the Huawei service may be adjusted due to the service provider's business changes, operational needs, etc., and shall be subject to the name actually displayed by the service provider.
6. Transaction flow (transaction amount): refers to the amount of transactions completed by you using the payment service through the selected service type (including but not limited to payment for goods, freight, etc.) calculated by the software system of the Alipay / Taobao platform operator. The transaction flow will be used as the basis for Alipay to charge you.
6. Transaction Volume (Transaction Value): refers to the Alipay or Taobao statistics of the transactional amounts for completed transactions in the payment services (including but not limited to the payment for goods, freight, etc.). Alipay will charge you the fee based on the transaction volume.
7. Service fee: refers to the software service fee that you have to pay to Alipay for using this service. The service fee is determined based on the transaction flow (transaction payment) and the rate clearly stated to you by Alipay in this agreement.

8. Unauthorized transaction: Refers to the transaction that the buyer uses the bank card or Alipay account to complete the transaction directly with you through this service without the authorization of the bank card (including debit card, credit card, etc.) holder or Alipay account holder.

9. " Cash-out " transaction: means that you and the buyer pay cash directly to the buyer through fictitious transactions, false prices, cash returns, etc. " Cash-out " transactions include but are not limited to cash-out via credit card and cash-out via Huabei.
9. "Cash out" transactions: refers to your use a fictional transaction, fictional price, cash return or other methods to directly cash out for funds with a Buyer. "Cash out" transactions including but not limited to using credit cards or using Huabei Collection service to cash out.
10. Jifenbao services: under this agreement, it refers to the Jifenbao products and services provided by Jifenbao Enterprise and Jifenbao Business in accordance with this agreement and the relevant rules of Jifenbao.
10. Jifenbao service: according to this Agreement, Jifenbao service refers to the products and services provided by Jifenbao Enterprise and Jifenbao Business based on the terms and conditions of this Agreement and Jifenbao.
11. " Account balance +" payment collection service: refers to the account receivable recovery service provided by MYBank to collect the corresponding payment based on the order you have reached with the buyer, in order to improve the payment experience of the buyer.

12. Taobao platform operator: Refers to the legally recognized responsible entity for operating the platform website. " Taobao Platform " refers to the online platforms operated by Taobao, including but not limited to Taobao, whose domain name is taobao.com ; Tmall, whose domain name is tmall.com ; Feizhu.com, whose domain names are alitrip.com , fliggy.com , and feizhu. com ; Yitao.com, domain name is etao.com ; Juhuasuan, domain name is ju.taobao.com ; 95095 medicine platform, domain name is 95095.com ; Xianyu platform, domain name is goofish.com . The aforementioned entities may be referred to individually or collectively as Taobao platform operators.
12. Taobao platform operator: refers to the legal entity responsible for the business of the platform website. For information about the Taobao operator, please see the company information and license information disclosed at the bottom of the homepage of each Taobao platform. ": refers to the network platforms operated by Taobao, including but not limited to Taobao (domain name: taobao.com ), Tmall (domain name: tmall.com ), Fliggy (domain names: alitrip.com , fliggy.com and feizhu .com ), Etao (domain name: etao.com ), Juhuasuan (domain name: ju.taobao.com ) ,95095 medicine platform(domain name: 95095.com ) , and Goofish platform (domain name: goofish.com). The above entities can be individually or collectively referred to as Taobao platform operator.
13. Service providers: Providers who provide you with payment services, Jifenbao services, credit card payment services, international payment services, and Huabei collection services. These providers may be referred to individually or collectively as " Service Providers " .

You know that in order to provide you with basic payment services, Alipay needs to know your business information, and collect your store account (platform id and corresponding Alipay account number), store name, store status, and store account that you have kept with the Taobao platform operator. You agree to perform your obligations and enjoy related rights in your use of the basic payment service in accordance with the Alipay Service Agreement and the rules published on Alipay and Taobao platform websites from time to time. The special agreement on the use of the payment service shall be subject to the terms of this Agreement. If any inconsistency exists between this Agreement and the Alipay Service Agreement, this Agreement shall prevail. Any matters not addressed under this Agreement shall be subject to the Alipay Service Agreement and relevant rules published from time to time on the Alipay website.

In this case, no cooperation is established among you, the Jifenbao Enterprise and the Jifenbao Business with regard to the Jifenbao service.
2. You agree that when using Jifenbao services, you will perform your obligations and enjoy rights in accordance with this agreement and the rules published by Jifenbao Enterprise and Jifenbao Business on the Taobao platform operator and/or Alipay website from time to time.

You should provide the service to the Company and the Company within a reasonable period of time after receiving the notice of provision.

You agree that the Jifenbao Enterprise and the Jifenbao Business have the right to require you to provide certain materials (including but not limited to, copies of your business license, copies of tax registration certificate, tax registration number, etc.) based on legal and regulatory requirements and risk prevention needs. You shall provide the aforementioned materials to the Jifenbao Enterprise and the Jifenbao Business within a reasonable period of time after receiving the notice of such provision.
6. You promise to issue an invoice to the Jifenbao enterprise for the corresponding amount of Jifenbao that needs to be settled or has been settled every month, and the specific issuance time is before the 15th of the next month . The content of the invoice is issued according to the business scope of the merchant, but the words " Jifenbao " must be included in the remarks . The subject of the invoice is the full name of the company (enterprise merchant) or the name of the individual (personal merchant). If there are special reasons and with the consent of the Deji Fenbao company, the issuance can be delayed for one month. If you do not deliver the invoice to Jifenbao Company on time, Jifenbao Company has the right to ask Alipay to deduct 30% of the invoice amount as liquidated damages from your Alipay account at any time .
6. You guarantee that you will issue an invoice to the Jifenbao Enterprise for the amount corresponding to the Jifenbao Points to be settled or that has already been settled every month prior to the 15th of the next month. The content of the invoice shall be issued based on the business scope, but the issued invoice must contain the words "Jifenbao". The subject of the invoice shall be the company's full name (business merchant) or the personal name (individual merchant). If there are special reasons, the issuance of the invoice can be delayed for a month with the consent of the Jifenbao Enterprise. If you fail to send the invoice ontime, the Jifenbao Enterprise reserves the right to request Alipay to deduct an amount equivalent to 30% of the invoiced amount from your Alipay account as the liquidated damages.

7. Special terms for Tmall coupons. " Tmall Diancoupon " is a Jifenbao service named after Tmall, and it is a kind of Jifenbao. If you cannot send the invoice as required, you agree that Jifenbao has the right to ask Alipay to deduct 30% of the invoiced amount from the Alipay account under your name as liquidated damages at any time. You further agree that the Taobao platform operator can send the aforementioned deduction instructions to Alipay on its behalf.
7. Special provisions for Tmall Point."Tmall Point", as an Jifenbao service sponsored by Tmall, is also a kind of Jifenbao. If you are a Tmall merchant, you shall guarantee that you will issue an invoice to the Jifenbao Business for the amount corresponding to the Tmall Points to be settled. The specific time of issuance, items to be invoiced, and mailing address are as stipulated in Paragraph 6 under this article. The Jifenbao Business authorizes the Taobao platform operator to collect invoices from you. If you fail To send the invoice as required, you agree that the Jifenbao Business is entitled to request Alipay to deduct an amount equivalent to 30% of the invoiced amount from your Alipay account as the liquidated damages. You further agree that the Taobao platform operator can send the aforesaid deduction instruction to Alipay.
4. " Account Balance +" Collection Service

" Account balance +" collection service means that based on the order reached between you and the buyer, when the buyer's payment is limited, MYbank and Alipay will provide you with the following services respectively to realize the recovery of the payment:
"Account balance+" collection service means that when the payment of a buyer is restricted, MYbank and Alipay will provide you with the following services based on your purchase order with the buyer to help you collect the payment of goods:
MYBank provides you with the service of recovering accounts receivable, and you agree to transfer your accounts receivable to the buyer to MYBank, which will collect the payment from the buyer's account under the order, and according to the "Alipay Service "Agreement" and Alipay will transfer the payment to your Alipay account together.
MYbank provides you with accounts receivable collection service. You agree to transfer the right of collecting accounts receivable from the buyer to MYbank, which will collect the payment from the buyer's account under the order and then transfer such payment to your Alipay account together with Alipay ay in in accordance with the provisions of the Alipay Service Agreement.

(2) You understand and agree that MYbank will only provide you with the accounts receivable collection service. Once MYbank collects the corresponding payment from the buyer's account and transfers such payment to your designated account, the accounts receivable service is deemed to be performed completely;
( 3 ) If the buyer has any objection to the transaction, MYbank will dispose of the corresponding payment according to Alipay in accordance with Article 4 of this agreement, and the aforementioned disposal methods include compulsory refund from the account you designated, etc.;
(3) If the buyer has objections to the transaction, MYbank will dispose the corresponding payment according to the terms of Article IV of this Agreement. The disposal methods include a mandatory refund from your designated account;
( 4 ) MYBank does not provide services other than accounts receivable collection, such as accounts receivable financing, collection, bad debt guarantee;
(4) MYbank does not provide accounts receivable financing, payment reminder, full protection against bad debts and other services other than the accounts receivable collection service.
( 5 ) You do not need to pay any fees when using the " account balance +" collection service.

You understand and agree that when you apply to Alipay for the use of relevant credit card payment, international payment or Huabei payment collection services, it means that you will comply with this agreement, the "Alipay Service Agreement" and the website of Alipay and Taobao platform operators. Alipay has the right to reject your application based on risk prevention and other needs. If Alipay has not opened relevant credit card payment, international payment or Huabei payment collection services for you, it means that your application has been rejected. In this case, you have not established cooperation with Alipay on relevant credit card payment, international payment or Huabei collection service. During the validity period of this agreement, Alipay has the right to adjust the arrangements for providing you with the aforementioned services (including suspending / resuming services, etc.) according to your qualifications and risk management and control requirements.
Alipay reserves the right to reject your application based on the risk prevention and other requirements. If the credit card payment service, international payment service or Huawei Collection service not enabled for you by Alipay, it means your application is rejected. In this case, no Cooperation is established between you and Alipay with regard to the credit card payment service, the international payment service or the Huawei Collection service. During the effective term of this Agreement, Alipay has the right to adjust the arrangements for providing you with the aforementioned services ( including suspension/resumption of services) based on your qualifications, risk control and other requirements.
2. You understand and agree that you must pay Alipay for software service fees when you use credit card payment services, Huabei collection services or international payment services. You know that in order to better and continuously understand your overall situation on the corresponding e-commerce or service platform, Alipay needs to obtain your service access judgment result, risk control level, and store account (platform id and corresponding Alipay account) you have retained on the aforementioned platform from the corresponding e-commerce platform or related service platform (Tmall, Taobao, etc.), store / Seller type, store status, main category, store evaluation information. If you sign and apply for this service through the above-mentioned platforms, in order to ensure that you use this service on these platforms, we will feedback your contract status under this service to them .
6.You acknowledge that to better and continuously understand your overall situation in the corresponding e-commerce or service platform, Alipay needs to obtain your service access judgment results, risk control level, and the store account number (the platform ID and the corresponding Alipay ay account), store/seller type, store status, main business category, and store evaluation information that you retain on the aforesaid platform from the corresponding e-commerce platform or related service platform (Tmall, Taobao, etc.). If you intend to execute and apply for this service via the aforementioned platforms, we will provide you with feedback on your contract signing status under this service, to ensure that you can use this service on such platforms.
7. If your use of credit card payment service, international payment service, and Huabei payment collection service involves cross-border transactions, the user who conducts cross-border transactions with you will pay you RMB transaction funds through the Alipay agency purchase and settlement service. Alipay will display or arrange other channels to release foreign exchange quotes to users on the payment page or separately. The user determines the amount of foreign currency to be paid according to the RMB amount to be paid to you and the exchange rate of the foreign exchange rate, and pays you through Alipay to RMB funds. At present, you do not need to bear the exchange gain or loss between the exchange rate indicated in the foreign exchange price and the exchange rate when the exchange is actually settled or received or when the goods are returned (you will not bear the exchange loss or enjoy the exchange gain). In case of "Cash Out" transactions, if you are unable to provide relevant proofs within the agreed time or the proofs submitted are rendered invalid or inadequate by Alipay, you shall pay RMB 100,000 to Alipay as the liquidated damages within 3 working days after receipt of the email notice from Alipay, and Alipay has the right to directly deduct such amount of liquidated damages from any of your Alipay accounts. If the liquidated damage is not sufficient to cover the losses of Alipay and/or Taobao platform operator ( including but not limited to economic losses, administrative penalties, or the compensation covering the damage of Alipay users), then you shall provide adequate restitution.

( 2 ) Violating any agreement signed between you and the service provider, or the rules published on the website (including but not limited to "Alipay Service Agreement", "Taobao Service Agreement", "Consumer Protection Service Agreement").
(2) You violate any agreement that you have signed with the service provider or rules published on its website, including but not limited to Alipay Service Agreement, Taobao Service Agreement and Consumer Assurance Service Agreement.

(4) The service provider may terminate the relevant services due to the law or policy issued or modified by the national departments in charge. In such cases, the service provider is not considered to be breach of contract.
11. Special regulations on accepting US payment services

You agree that Alipay US may provide you with balance of payments services in the following cases: purchases made by buyers located in the United States, purchases made with a credit or debit card issued in the United States, purchases made with a bank account in the United States. In the above circumstances, you designate Alipay US as the agent for collecting payments from buyers. You agree that if the buyer has paid Alipay US or the third-party service provider designated by Alipay US in full at the transaction price listed online, it means that the buyer has fulfilled his payment obligation to you. Even if the payment has not been received by you, the buyer's payment obligation can be deemed fulfilled when the buyer makes payment to Alipay US. If Alipay does not pay you the money received from the buyer, Alipay will be fully responsible for your receivables, and the buyer will not be responsible for it.
You acknowledge that Alipay US may be involved in providing international payment services to You in connection with purchases made by buyers located in the United States or purchases made using credit cards or debit cards issued by banks in the United States or the accounts of banks in the United States. You hereby appoint Alipay US as your agent for the limited purpose of receiving payments from buyers. You agree that a buyer's full payment of the transaction price listed online to Alipay US, or its designated third party service provider acting on its beha lf, constitutes final payment to you, extinguishing buyer's payment obligation to You as if the buyer had paid You directly, even if the payment is not received by You. Alipay, and not the Buyer, is solely liable to You for payment if Alipay fails to remit payments received from Buyer to You.

By continuous use of the services hereunder upon receipt of the notice, you are deemed to have completely read, understood, and accepted the amendments, and you will follow the amendments to use applicable services.

With respect to Alipay, if otherwise provided for in the Alipay Service Agreement, the terms of the Alipay Service Agreement shall be followed.
4. The service provider has the right to retain the data information formed during your use of this service and provide it to their respective affiliated companies for the purpose of providing you with continuous and better services in the future; as far as Alipay is concerned, the Alipay Service Agreement 》If there is another agreement, it shall be implemented in accordance with the agreement.
